SemioXis – Chezaud Semiotics is the sole proprietorship (raison individuelle) of Alexandre Chezaud, Montreux, canton of Vaud, Switzerland, operating the SemioXis Evidence Report. Contact: through the contact form.
Product
SemioXis Evidence Report is a USD 899 diagnostic PDF generated from one public URL and delivered by email within one business day after successful payment. The report is for business buyers acting in a professional capacity. SemioXis is not sold to consumers acting in a private capacity.
Acceptance
By completing checkout and confirming the acceptance checkbox, the buyer accepts these Terms of Sale and the Privacy Policy in force at the time of order. These Terms of Sale are the general terms and conditions for the SemioXis Evidence Report checkout; no separate SemioXis general terms and conditions apply. The version date appearing above is the binding version for that order. SemioXis may revise these Terms for future orders; previously placed orders remain governed by the version accepted at checkout.
Electronic acceptance and signature
The buyer accepts these Terms by affirmatively checking the acceptance box at checkout and completing payment. This click-to-accept constitutes the buyer's electronic signature and a binding agreement under Swiss law (art. 1 and art. 11 of the Swiss Code of Obligations), which subjects this type of contract to no form requirement. Where the buyer's local law recognizes electronic acceptance (e.g. eIDAS in the EU, the ESIGN Act in the United States), the buyer agrees this acceptance has the same legal effect as a signed agreement. SemioXis records the acceptance event, its timestamp, and the binding version of these Terms as evidence of the agreement.
Refund policy
Pre-delivery cancellation — full refund, no questions
Any time after purchase and before the PDF report is delivered (typically within one business day), you may cancel for a full refund through the contact form (topic “Orders, refunds, and support”). No reason required. Cancellation is honored within one business day; refund posts to the original payment method within 5-10 business days depending on your bank.
Post-delivery quality guarantee — 7 days, objective failure only
For 7 days after the PDF is delivered, a full refund is available if any of the following objective failures applies:
- SLA breach. Delivery exceeded one business day from order receipt.
- Missing component. The report is missing the global score, the three sourced observations, the counter-signal block, or the priority action.
- Wrong source citation. An observation cites a source that, on independent inspection, does not exist on the analyzed URL or contradicts the cited content.
To claim a quality-guarantee refund, contact us through the contact form within 7 days of delivery with the order ID and the specific failure. Refunds are issued within two business days of validation. No discretion refunds are issued after delivery beyond this list.
What is not refundable
Subjective dissatisfaction with the verdict, disagreement with the score, or disagreement with the priority action are not refundable. The guarantee covers objective delivery and evidence failures; it does not require SemioXis to match the buyer's preferred conclusion.
SemioXis is operated by Alexandre Chezaud (raison individuelle), Montreux, Switzerland. This refund policy is governed by Swiss law. For consumers in jurisdictions granting statutory rights beyond this policy (e.g. EU consumer law where applicable), those rights are not reduced by this policy.
Buyer warranty
The buyer warrants that the submitted URL is owned, controlled, or lawfully submitted by the buyer. The buyer remains responsible for the lawful and accurate nature of the public content displayed at that URL, including any rights held by third parties (images, trademarks, names, testimonials). SemioXis is not liable for third-party rights violated by the analyzed URL.
Reviewer standard
Every report is reviewed by a qualified human reviewer against the proof standard (global score, three sourced observations, counter-signal, priority action) before delivery. The reviewer is a qualified SemioXis reviewer operating under the same proof standard. The buyer's contractual protection is the proof standard itself (cf. refund clause), not the personal identity of the reviewer.
Boundary
The report is a methodological opinion for private commercial reflection. It is not a legal opinion, trademark filing or filing preparation, financial evaluation, investment advice, securities advisory, transaction advisory, design implementation, expert certification, or procedural assessment. SemioXis does not practice law and does not provide financial advice.
Intellectual property and methodology
SemioXis retains exclusive ownership of the SemioXis methodology, calibration corpus, prompts, scoring weights, report templates, and the structural design of the Position Map and Proof Triangle visualizations. The buyer receives, upon full payment, a personal, non-transferable license to use the report for the buyer's internal commercial decision-making.
The buyer agrees not to:
- systematically purchase or aggregate SemioXis reports for the purpose of reverse-engineering the methodology, scoring weights, or calibration;
- republish, resell, or distribute the report or substantive excerpts to third parties beyond the buyer's internal advisors bound by confidentiality;
- use the report, the score, the visualizations, or any inference derived therefrom to build or market a competing diagnostic product or service.
Breach entitles SemioXis to terminate the license, claim contractual damages, and seek injunctive relief, including under Swiss Unfair Competition Act art. 6 (trade secrets).
Confidentiality
Buyer-submitted URLs, buyer identity, and the contents of the resulting report are treated as confidential by SemioXis. SemioXis will not publish, cite, or share a named buyer's report or excerpts without the buyer's prior written consent. Anonymous, aggregate, or fully synthetic learnings remain permissible (cf. Privacy Policy).
Taxes
Prices are displayed in USD. SemioXis applies Stripe Tax for automated computation. Swiss VAT is not charged below the LTVA registration threshold. EU B2B customers with a valid VAT ID benefit from reverse charge. Customers are responsible for any local import or use taxes applicable to a digital service in their jurisdiction.
Liability
To the maximum extent permitted by law, SemioXis's liability is capped at one times the purchase price paid for the relevant report, excluding indirect, consequential, reputational, or lost-profit damages. This cap does not apply in case of intentional fault or gross negligence.
Governing law and jurisdiction
These Terms are governed by the substantive law of Switzerland, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
These Terms are concluded with business buyers acting in a professional capacity. The exclusive place of jurisdiction for any dispute arising out of or in connection with these Terms is Montreux, canton of Vaud, Switzerland; the competent courts are the ordinary courts of the canton of Vaud. The buyer's electronic acceptance at checkout satisfies the written-form requirement for this choice of forum, including under Article 23 of the Lugano Convention.
Mandatory consumer-protection rules and mandatory rules of jurisdiction that apply notwithstanding a choice of forum, where a buyer nonetheless qualifies as a consumer under applicable law, remain reserved.
